A:
THE VIRTUAL PARROT HEAD CLUB being the only online Parrot Head
Club chartered by Parrot Heads in Paradise, Inc. shall be open to
anyone who enjoys the music of Jimmy Buffett and at the same
time has the desire to give back to their community. The Virtual
Parrot Head Club is primarily for those who wish to participate
in a Parrot Head Club but have no local land based club near
them, however any and all people who espouse the Parrot Head
spirit are welcome no matter their location.
ARTICLE III – MEMBERSHIP:
Open to anyone who has internet access of any kind and is willing
to pay the dues and expresses an interest in Parrot Head
philosophy as well as some interest in environmental issues and
charitable causes.
A. Qualification for Membership: Pay the dues set by the
Board of Directors.
B. Voting Member: Every member in good standing shall have
the right to exercise one (1) vote in any club election or matter
presented to the membership by the Board of Directors. To be
considered a member in good standing you must be up to date with
your Annual Dues.
C. Expulsion of Members: Organization members are expelled
if dues are not paid within sixty (60) days of date due. Also,
members may be expelled at discretion of the Board of Directors
on a majority vote for conduct unbecoming of any member, which
affects the Parrot Head Club.
D. DUES: The Board of Directors sets dues. All dues are
due on a calendar year basis and are payable upon notice. If a
Membership payment is not received within thirty (30) days of the
billing date that membership will be considered inactive. If
membership payment is not received within sixty (60) days of the
billing date that membership will be taken off the Club
membership list.
E. Members in good standing shall have all rights,
privileges and duties including but not limited to voting, access
to all VPHC forums and mailing lists. The right to earn Island
Time points and the privilege to attend the Meeting of the Minds
the annual convention sponsored by Parrot Heads In Paradise, Inc.
No one can be consider a member of the Virtual Parrot Head Club
or a member in good standing until after the dues have been paid
in full and received by the Treasurer.
ARTICLE IV: BOARD OF DIRECTORS
A: There shall be a Board of Directors consisting of President,
Treasurer, Director of Charity/Giving Back, Webmaster, Member-At
Large and Five Special Directors Emeritus. The Five Directors
Emeritus will be appointed positions; these Directors shall be
seated until such a time they retire or that they no longer
remain active. These Directors shall be drawn from both the
charter members of the Virtual Parrot head Club and thereafter
the most long-standing members. With the exception of Treasurer
and Webmaster, which, by the fact that both positions need
special abilities and knowledge both shall always remain an
appointed position, the other three positions shall be filled at
yearly elections.
B: In addition there shall be Committee Chairs and Ad Hoc
advisors appointed by the Board of Directors as needed.
C: Duties Of Board of Directors
1: President; the President shall be the chief officer of the VPHC.
Duties shall include but not be limited to; chairperson of all
board meetings, official liaison/club contact with Parrot Heads
In Paradise and generally overseeing the day-to-day operations of
the VPHC, delegating duties and authority as needed. The
president shall annually address the general membership by either
a posting on the VPHC forum or the VPHC mailing list a State of
the Club, where we’ve been, where we’re going, what we plan to do
address. The president shall have one vote on all matters
presented to the Board of Directors.
2. Treasurer; the Treasurer shall maintain the club checking
account as well as the membership database. The Treasurer submits
quarterly financial reports to the membership at large. The
Treasurer will act as chairperson of board meetings in absence of
the President. The Treasurer should also have final oversight of
all purchase and sale issues for the club to insure that all such
transactions make money for the club and therefore, the charities
we support. The Treasurer shall have one vote on all matters
presented to the Board of Directors.
3. Director of Charities/Giving Back; The Director of Charities
will oversee all charitable and environmental concerns of the
VPHC, this includes but is not limited to handling any auctions
or raffles. The Director of Charities will also maintain the
Island Time database. The Director of Charities shall be the
final arbitrator of Island Time Points. The Director of Charities
shall have one vote on all matters presented to the Board of
Directors.
4. Webmaster: The Webmaster shall be in total control of the
website. Maintaining all aspects of the website. Because this
position requires considerable skill this shall be an appointed
position. The Webmaster shall have one vote on all matters
presented to the Board of Directors.
5. Member-At-Large; The Member at large shall perform such duties
as needed. The member-At-Large shall have one vote on all matters
presented to the Board of Directors.
ARTICLE V: ELECTION OF OFFICERS
A: Terms for the elected members of the Board of Directors
shall be one year.
B: Elections for Board of Directors will be done by voting
on the website. The Webmaster will act as the elections officer
in this matter by receiving nomination forms and posting a ballot
to the website.
C: Any member in good standing of the Virtual Parrot Head
Club who desires to commit the time needed to hold office is
eligible to run for office.
D: the Webmaster must receive Nominations for office no
later than November 10 of the calendar year. All nominations must
be accompanied by a position statement and resume to be
considered valid.
E: The Webmaster will post the position statements and
resumes of all candidates no later then November 15 of the
calendar year. At this time the Webmaster shall also post the
ballot for each position.
F: Notification of ballot. All members of the Virtual
Parrot Head Club who have not opted out of the VPHC Announcement
list will be notified via this list when the ballot is up.
G: Voting shall be completed no later than November 30 of
the Calendar year with the results being announced no later than
December 5 of the calendar year.
H: The results will be posted on the VPHC website and also
sent out via the VPHC Announcement list.
I: Newly elected officers shall assume their position
January 1 of the next calendar year.
J: At the beginning of the Calendar year the Board of
Directors shall appoint a Treasurer and Webmaster to the position
for the year. The Treasurer and Webmaster may be removed at
anytime for just cause by a majority vote of the remaining Board
of Directors.
ARTICLE VI: REMOVAL OF OFFICERS
A: Any member of the Board of Directors may be removed
from office for "just cause" including, but not limited to
malfeasance, nonfeasance, misfeasance, gross negligence in
office, omissions or actions determined by the Board of Directors
to be a detriment to the Virtual Parrot Head Club. A written
motion for removal will be brought before the entire Board by any
member of the Board of Directors, who shall distribute the motion
to the remaining board members for consideration. This motion
will be voted upon within seven (7) working days of receipt by
the board members, unless written dispute or clarification is
requested by any board member. Such request shall be filed within
seven (7) working days with the remaining board members, who are
required to respond in the same time frame. This correspondence
shall continue until the matter is resolved and voted upon. A
majority vote of the remaining Board of Directors will be needed
to remove a member.
ARTICLE VII: MEETINGS
A: The Board of Directors shall hold online meetings as
needed.
B: General Membership meetings will be held online as
needed. These meetings will follow Robert's Rules Of Order and
anyone not following these rules will be ejected from the chat
room.
C: If possible there will be a General meeting of all
members who attend the annual convention.
Article VIII: MISC.:
A: Club Tickets/Island Time Points: In that the Virtual
Parrot Head Club receives four tickets to each concert in the
continental United States these will be awarded to club members
as outlined in the Island Time Points Guidelines.
B: Code of Conduct: All members shall be held to a code of
conduct. In that they will be responsible for their own behavior
and will not at anytime when they represent the Virtual Parrot
Head Club do anything that will reflect in appropriately on the
club.
C: Amendments: These bylaws may be amended by the Board of
Director with each amend being voted on by the general
membership. Such a vote will occur online.
D: These bylaws and all policies and guidelines will be
posted on the Virtual Parrot Head Club Web Site so that any
member can review them at anytime.
